Terms of Service

Welcome to ShopsWired. These Terms of Service ("Terms") govern your access to and use of the ShopsWired platform, including our website, APIs, plugins, themes, and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

• "Platform" refers to the ShopsWired e-commerce platform, including all software, APIs, dashboards, and infrastructure.
• "Merchant" or "you" refers to any individual or entity that registers for and uses the Service to operate an online store.
• "Customer" refers to an end-user who browses or purchases from a Merchant's store.
• "Shop" refers to an individual storefront created and managed by a Merchant on the Platform.
• "Content" refers to any text, images, media, product listings, plugins, themes, or data uploaded to the Platform by Merchants.

2. Account Registration & Eligibility

You must be at least 18 years old and able to form a binding legal contract to use the Service. By registering, you represent that all account information is accurate and that you will keep it up to date. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account.

3. Service Description

ShopsWired provides a fully managed e-commerce platform that enables Merchants to create and operate online storefronts. The Platform includes:

• Customizable Liquid-based theme engine for storefront design
• Server-side JavaScript plugin system with lifecycle hooks, cron jobs, and custom routes
• Product, order, and customer management
• Payment gateway integration (Stripe, Square, and custom plugin gateways)
• Custom domain support with automatic SSL provisioning
• CDN-backed asset delivery and global edge caching
• Custom Records for extending your data model via plugins
• The "Wired" network for cross-shop product syndication

4. Subscription & Billing

4.1 Plans & Pricing

Access to the Service requires a paid subscription. Plan tiers, pricing, and included features are listed on our Pricing page. Pricing is billed monthly on a per-shop basis. All prices are in USD unless otherwise stated.

4.2 Free Trial

New Merchants may be eligible for a 30-day free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled.

4.3 Payment

You authorize ShopsWired to charge your payment method on file for all fees associated with your account. Payments are non-refundable except as required by law or as explicitly stated in these Terms.

4.4 Rate Limits

Each plan includes a specific rate limit for dynamic (non-cached) requests. Standard browsing traffic served from the edge cache does not count toward your limit. Exceeding your plan's rate limit may result in throttled requests. We will not charge overage fees without prior notice.

4.5 Fair Use

Our plans are designed for normal e-commerce operation. We rely on per-plan rate limits (Section 4.4), script execution timeouts, background-task concurrency limits, and aggressive edge caching to keep platform resources fair across all Merchants. Under typical use, you never need to track or budget your own resource consumption — these protections handle it for you.

Because of these safeguards, disproportionate resource usage is almost always either unintentional (for example, a plugin with a runaway or infinite loop, or an inefficient query repeated at high frequency) or deliberate abuse. You agree not to use the Service to:

• Run runaway, recursive, or infinite loops, or otherwise knowingly deploy plugins, hooks, or scheduled tasks that consume excessive compute, memory, database operations, or outbound bandwidth.
• Use the Platform's outbound request capabilities (such as plugin fetch) as a general-purpose proxy, scraper, or relay, or to generate outbound traffic unrelated to operating your storefront.
• Send bulk, unsolicited, or automated email through the Platform's messaging features beyond what is reasonably required to service your own Customers and orders.
• Consume CPU, storage, database operations, or bandwidth in a manner that is grossly disproportionate to operating a storefront, or that degrades performance for other Merchants.
• Store or serve content unrelated to your storefront — for example, using file storage as a general-purpose CDN, backup, or file-hosting service.
• Circumvent, evade, or attempt to defeat any rate limit, quota, storage limit, timeout, concurrency limit, scheduling interval, or other technical or plan restriction — whether by technical means or by splitting, distributing, or coordinating workloads across multiple Shops or accounts, rotating identifiers, artificially manipulating caching, or any similar tactic.

If a Shop consumes resources in a way that is abusive, clearly unintentional (such as a broken loop), or materially disproportionate to normal e-commerce use, we may throttle, pause, or disable the offending script or feature, and will work with you to resolve it — for example, by optimizing the code or moving to a more suitable plan. We will not impose overage charges for resource usage without prior notice, and we reserve the right to suspend Shops that repeatedly or deliberately violate this Fair Use policy.

4.6 Price Changes & Non-Payment

We may change our fees or introduce new charges from time to time. We will give at least 30 days' notice of any price increase, and changes take effect at the start of your next billing cycle. If a charge fails or your account becomes past due, we may suspend or limit your Shop until the outstanding balance is paid. Shops suspended for non-payment are subject to the same data-retention timeline described in Section 14 (Termination).

5. Merchant Obligations

As a Merchant using the Platform, you agree to:

• Comply with all applicable laws and regulations, including consumer protection, tax, data privacy (GDPR, CCPA, etc.), and export control laws.
• Provide accurate product descriptions, pricing, and availability information on your storefront.
• Fulfill orders promptly and handle customer disputes, returns, and refunds in accordance with your stated policies.
• Not use the Platform to sell prohibited goods, including but not limited to: illegal substances, weapons, counterfeit goods, stolen property, or any item that violates applicable law.
• Not engage in fraudulent transactions or misrepresent products or services.
• Maintain a clearly posted refund/return policy, shipping policy, and contact information on your store.

6. Custom Code, Plugins & Scripts

6.1 Your Responsibility for Custom Code

The Platform lets you and your developers deploy server-side JavaScript — including plugins, hooks, scheduled tasks, custom routes, and Liquid templates — that can read and write your data, call external services, and send messages on your behalf. You are solely responsible for all code you author, install, or enable on your Shop, and for its behavior and effects. ShopsWired is not responsible for, and disclaims all liability for, any data loss or corruption, security exposure, service disruption, incorrect charges, failed orders, or third-party costs arising from custom code. We do not warrant that custom code will operate correctly, securely, or without interruption.

6.2 Sandboxing & Enforcement

Custom code runs in a restricted, sandboxed environment subject to execution timeouts, rate limits, and resource controls. We may, at our discretion and without prior notice, throttle, suspend, or disable any script, plugin, scheduled task, or feature that we reasonably believe is malfunctioning (for example, a runaway or infinite loop), consuming disproportionate resources, behaving maliciously, or violating these Terms. You remain responsible for monitoring and maintaining your own code.

6.3 Third-Party & Paid Plugins and Themes

Plugins and themes — whether built by you, by third parties, or obtained from a marketplace — remain the intellectual property of their respective creators; ShopsWired does not claim ownership of custom plugins or themes. Third-party plugins and themes, whether free or paid, are provided by their developers and not by ShopsWired. We do not author, endorse, or warrant them, and we are not responsible for their quality, security, accuracy, or fitness for any purpose. You install and use them at your own risk and subject to any license or terms set by the developer. Purchases of paid plugins or themes — including pricing, licensing, support, and refunds — are governed by the developer's terms; ShopsWired's role is limited to facilitating access. You may not copy, redistribute, decompile, or attempt to extract the source code of any plugin or theme whose source has been designated private by its developer.

7. Taxes, Payments & Transactions

You are the merchant of record for all sales made through your Shop. You are solely responsible for determining, collecting, reporting, and remitting all applicable sales tax, VAT, GST, and other taxes on your sales. Payments are processed by third-party payment providers (such as Stripe) under their own terms and pricing; ShopsWired is not a party to transactions between you and your Customers and does not process or hold funds on your behalf. ShopsWired charges no transaction fees, but you remain responsible for all payment-processor fees, refunds, chargebacks, fraud, and Customer disputes arising from your sales.

8. Email & Communications

The Platform's built-in email features — including the plugin email bridge (sw.email.notifyShop and sw.email.notifyCustomer) and system-generated notifications — are provided for transactional and operational messages only, such as order confirmations, shipping updates, account notices, password resets, and staff alerts. You may not use these built-in features to send bulk, mass, promotional, marketing, or unsolicited email, or any newsletter or campaign messaging. Any bulk or marketing email must be sent through a dedicated third-party email service integrated via a plugin, using that provider's own sending infrastructure and subject to its terms.

You are the sender of record for all messages you send through the Platform and are solely responsible for complying with applicable anti-spam and electronic-communications laws (including CAN-SPAM, CASL, and GDPR), obtaining any required consent, and honoring opt-out requests. We may queue, throttle, or suspend email functionality to protect platform deliverability or in response to spam complaints or abuse.

9. Intellectual Property

9.1 Your Content

You retain ownership of all Content you upload to the Platform. By uploading Content, you grant ShopsWired a non-exclusive, worldwide license to host, cache, serve, and display that Content solely for the purpose of operating the Service on your behalf.

9.2 Platform IP

ShopsWired and its licensors retain all rights in the Platform's technology, branding, documentation, and proprietary code. Nothing in these Terms transfers ownership of any ShopsWired intellectual property to you.

10. Prohibited Conduct

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
• Use the Service to transmit malware, spam, phishing content, or any malicious code.
• Interfere with or disrupt the Service, its servers, or connected networks.
• Abuse rate limits, attempt denial-of-service attacks, or exploit vulnerabilities.
• Circumvent, evade, or attempt to defeat any usage limit, quota, or plan restriction through technical means, by distributing usage across multiple accounts or Shops, or by any other tactic intended to obtain resources beyond your plan.
• Conduct security testing, scanning, or penetration testing against the Platform or any Shop other than your own without our prior written consent. Suspected vulnerabilities should be reported to [email protected].
• Access another Merchant's account, data, or storefront without authorization.
• Resell or sublicense access to the Platform without written consent from ShopsWired.
• Use the Platform in any manner that could damage, disable, or impair its functionality.

11. Data, Privacy & Backups

11.1 Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms. You acknowledge that as a Merchant, you are a data controller for your Customers' personal data and must comply with applicable data protection laws.

11.2 Backups & Data Loss

ShopsWired is not a backup service. While we operate the Platform with reasonable care, you are responsible for maintaining your own backups and exports of your store data, and for any data loss or corruption caused by your own code, plugins, or actions. You may export your data through the available tools at any time; upon termination, your data follows the retention timeline described in Section 14 (Termination).

12. Third-Party Integrations

The Platform allows integration with third-party services through plugins (e.g., payment gateways, analytics providers, external databases). ShopsWired is not responsible for the availability, accuracy, or security of third-party services. Your use of third-party integrations is at your own risk and subject to those services' respective terms and policies.

13. Availability, Support & Beta Features

We strive to maintain high uptime, but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for scheduled or emergency maintenance. Support availability and response times vary by plan tier. We are not liable for losses due to downtime or service interruptions.

We may from time to time offer features identified as beta, preview, or experimental. These features are provided "as is," may be changed or discontinued at any time, may be less reliable than generally available features, and may be excluded from any support or availability commitments.

14. Termination

14.1 By You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. Upon cancellation, your store data will remain available for 30 days, after which it may be permanently deleted.

14.2 By ShopsWired

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that harms other Merchants, Customers, or the Platform's integrity. We will make reasonable efforts to notify you before or promptly after termination.

15. Copyright & DMCA

ShopsWired respects intellectual property rights and responds to clear notices of alleged copyright infringement. If you believe Content hosted on the Platform infringes your copyright, send a notice to [email protected] including the information required under the Digital Millennium Copyright Act (DMCA). We may remove or disable access to allegedly infringing Content and may terminate the accounts of repeat infringers.

16. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant ShopsWired a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose, without obligation or compensation to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPSWIRED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHOPSWIRED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHOPSWIRED DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

19. Indemnification

You agree to indemnify and hold harmless ShopsWired, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your Content, your custom code or plugins, your sales and tax obligations, your violation of these Terms, or your violation of any third party's rights.

20. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

21. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you qualify for small claims court.

22. Assignment & Force Majeure

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, or internet, utility, or third-party provider failures.

23. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ShopsWired regarding the Service and supersede all prior agreements and understandings.
